Terms of Service

By accessing, browsing, or using the Symple Leases website, mobile application, or any associated services (collectively, the "Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Platform.

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use the Platform. By creating an account, you represent and warrant that you meet these requirements and that all information you provide is accurate and complete. If you are using the Platform on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

Symple Leases operates a multi-sided property management marketplace that connects property owners, property managers, short-term rental hosts, rental entrepreneurs, service professionals, field team members, and inspectors. The Platform facilitates property listings, inquiry management, lease administration, rent collection, maintenance coordination, guest inspections, task management, team collaboration, and related services.

Symple Leases is a technology platform — we are not a party to any lease, rental agreement, service contract, or other arrangement between users. We do not own, manage, or control any property listed on the Platform. Service availability is on a best-efforts basis; we do not guarantee 100% uptime.

To access most features of the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately at support@sympleleases.com if you suspect unauthorized access to your account.

The Platform supports multiple user roles, each with specific responsibilities:

• Landlords are responsible for the accuracy of property listings, compliance with local landlord-tenant laws, and timely response to inquiries and maintenance requests.
• Property Managers bear the same responsibilities as Landlords and must also ensure that their team members comply with these Terms.
• Hosts and Co-Hosts are responsible for accurate listing information, guest safety, property condition, compliance with short-term rental regulations, and proper use of inspection and task management tools.
• Rental Entrepreneurs must comply with all lease terms, local regulations, and Platform policies when operating rental arbitrage businesses.
• Service Professionals must hold all required licenses and insurance, provide accurate quotes, complete work to industry standards, and maintain professional conduct.
• Field Team Members and Inspectors must follow the instructions and standards set by the users who invited them and comply with all applicable laws.

Access to certain features requires a paid subscription. Plans are billed on a monthly basis and renew automatically at the end of each billing cycle. You authorize us to charge the payment method on file for all applicable fees. Prices are listed in US dollars and do not include applicable taxes, which will be added where required by law.

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial billing periods. We reserve the right to change subscription prices with at least 30 days' prior notice.

All payment processing on the Platform is handled by Stripe, Inc. ("Stripe"), including rent collection, service payments, and subscription billing. By using the Platform, you agree to Stripe's Terms of Service and Privacy Policy. Hosts and service professionals who receive payments through the Platform must create and maintain a Stripe Connect Express account.

Symple Leases charges platform fees on certain transactions processed through the Platform:

Fees are deducted from payments before disbursement. We may modify fee rates with at least 30 days' prior notice. Standard Stripe processing fees also apply and are separate from platform fees.

You retain ownership of all content you submit to the Platform, including property photos, documents, listings, messages, and reviews ("User Content"). By submitting User Content, you grant Symple Leases a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, display, and distribute your User Content solely for the purpose of operating and improving the Platform.

You represent that you own or have the necessary rights to all User Content you submit and that it does not violate any third party's intellectual property rights, privacy rights, or any applicable law. We reserve the right to remove User Content that violates these Terms. If you believe content on the Platform infringes your copyright, please contact us at legal@sympleleases.com with a DMCA takedown notice.

The Platform, including its design, code, features, logos, trademarks, and documentation, is the exclusive property of Symple Leases and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Platform in accordance with these Terms. You may not copy, modify, distribute, sell, reverse-engineer, or create derivative works from any part of the Platform without our prior written consent.

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable law.
• Post false, misleading, or fraudulent listings, reviews, or other content.
• Harass, threaten, or intimidate other users.
• Circumvent, disable, or interfere with security-related features of the Platform.
• Scrape, crawl, or use automated means to access the Platform without our written permission.
• Attempt to gain unauthorized access to other users' accounts, data, or Platform systems.
• Use the Platform to facilitate transactions outside the Platform in order to avoid fees.
• Upload files that contain viruses, malware, or other harmful code.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Use the Platform to build a competing product or service.

Between Users

Symple Leases may provide tools to help resolve disputes between users but is not obligated to mediate or resolve any dispute. Users are encouraged to resolve disputes directly and may contact support@sympleleases.com for assistance.

Between You and Symple Leases

Informal Resolution First. Before filing any formal proceeding, you agree to contact us at legal@sympleleases.com and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration. If we cannot resolve the dispute informally, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. Arbitration shall take place in Santa Clara County, California, or at your choice, remotely by phone or video conference.

Class Action Waiver. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration. All claims must be brought in your individual capacity.

Small Claims Exception. Either party may bring qualifying claims in small claims court in Santa Clara County, California, or your county of residence.

Opt-Out. You may opt out of this arbitration provision by sending written notice to legal@sympleleases.com within 30 days of creating your account. Your notice must include your name, email address, and a clear statement that you wish to opt out of arbitration.

To the maximum extent permitted by applicable law, Symple Leases and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Platform.

Our total aggregate liability for any claim arising out of or related to these Terms or the Platform shall not exceed the total amount of subscription fees you paid to Symple Leases during the twelve (12) months immediately preceding the event giving rise to the claim, or $100 for free-tier users.

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

You agree to indemnify, defend, and hold harmless Symple Leases and its officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) your User Content. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you.

You may close your account at any time through your account settings or by contacting support@sympleleases.com. We may suspend or terminate your account at any time if we reasonably believe you have violated these Terms or if continued use of your account poses a risk to the Platform or other users. Where practicable, we will provide notice and an opportunity to cure before termination.

Upon termination, your right to access the Platform ceases immediately. We will retain your data in accordance with our Privacy Policy retention schedule. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property, limitation of liability, indemnification, and dispute resolution provisions.

Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, acts of government, war, terrorism, labor disputes, infrastructure failures, or internet service disruptions. The affected party will make reasonable efforts to mitigate the impact and resume performance as soon as practicable.

We may update these Terms from time to time. If we make material changes, we will notify you by email and by posting a prominent notice on the Platform at least 30 days before the changes take effect. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the changes, you must stop using the Platform before they take effect.

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Subject to the arbitration provision above, any legal action or proceeding relating to these Terms shall be brought exclusively in the state or federal courts located in Santa Clara County, California.

• Entire Agreement. These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Symple Leases regarding your use of the Platform.
• Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
• Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.
• No Agency. Nothing in these Terms creates an agency, partnership, joint venture, or employment relationship between you and Symple Leases.
• Electronic Communications. By using the Platform, you consent to receiving electronic communications from us, including emails, push notifications, and in-app messages. These communications satisfy any legal requirement that notices be in writing.
